The User shall not without a prior expressed consent of Coalition, take or attempt any action that, in the sole and absolute discretion of Coalition, imposes or may impose an load or burden on the Website by use of web-crawler or any similar and /or automated technique or otherwise to pull or scrape data and / or information from the Website or any system related to the Website.

The User shall not use the Services for any illegal purpose, for the violation and / or facilitation of violation of any law or regulation, or in any manner inconsistent with these Terms.

The User agrees to use the Services solely for internal use as may be permitted by Coalition and not for resale, redistribute or to use, transfer, distribute, or dispose of the Contents or any Information available on or through the Website in any manner not expressly permitted by Coalition and in any manner that could compete with the business of Coalition or any of its suppliers or otherwise violate any applicable laws.

The User shall not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit, or in any way exploit any part of the Services, except otherwise specifically permitted by Coalition in writing.

  1. is promotional in nature, including solicitations for funds or business, without the prior written authorisation of Coalition, or constitutes junk mail, spam, chain letters, pyramid schemes or the like;

  4. infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

  6. is harmful to minors;
  7. is false, fraudulent, incorrect, misleading, misrepresentation of any sort or

Coalition holds the complete right to de-activate any User on its own accord if the User is suspected or found to be from competition engaging or trying to engage in any malicious activity.

CESSATION OF ACCESS

The User agrees that Coalition may, at its sole and absolute discretion, may terminate or suspend the User's account including but not limited to the User's use of the Website, the Coalition Systems, Information, Services and Content at any time, even if access and use continue to be allowed to others. Upon such suspension or termination, the User must immediately (a) discontinue the use of the Website. Accessing the Website, the Coalition Systems, Information or Services after such termination, suspension or discontinuation shall constitute an act of trespass. Services provided by Coalition shall be considered proprietary information, ownership of which shall always remain with Coalition Limited. The User shall be fully responsible for maintaining confidentiality.

The User shall not directly or indirectly transmit, broadcast, redistribute, transfer, publish, disclose, display or disseminate the Services or any part of the data, information, and images etc. which constitute the Services to any other person or entity, in any form or by any means.

Reproduction of Services in any external documents requires prior written consent from Coalition on payment of an appropriate fee if applicable depending on the type and extent of the content to be reproduced.

Unauthorised re-production or re-distribution of the Services provided by Coalition and contents of the Website are prohibited. The User shall be liable and responsible for any breach.

PROPRIETARY RIGHTS

The User acknowledges that Services and all components are the property of Coalition. The User shall not acquire any title or ownership of Services or any part thereof.

CONFIDENTIALITY

The User shall take all necessary steps to maintain the confidentiality of Services and to protect the proprietary rights and confidential information of Coalition and not disclose it to any third party for any purpose (except under an order of the court or statutory / regulatory body) without the prior written consent of Coalition.

Coalition will use the public IP address of the User for the authentication processes required at its end and for the purpose of provision of the services.

LIMITATION OF LIABILITY

Under no circumstances, including but not limited to negligence, shall Coalition, its suppliers, agents, directors, officers, employees, representatives, successors, or assigns be liable to the User for any indirect, incidental, consequential, special, punitive, or exemplary damages even if Coalition has been advised specifically of the possibility of such damages, arising from use of or inability to use the services or any links or items on the services or any provision of the Terms, such as, but not limited to, loss of revenue or anticipated profits or lost business or loss of data. To the extent permitted by applicable law and to the extent that Coalition is otherwise found to be responsible for any damages, Coalition shall be responsible for direct and actual damages only, and Coalition's aggregate maximum liability to the User for all damages, losses and causes of action (whether in contract or tort, including but not limited to, negligence) shall not exceed $1000 (one thousand US dollars).

GENERAL

All disputes here under shall be governed by the laws of England and Wales and the courts of London, England shall have the non-exclusive jurisdiction to settle all matters in relation to these Terms.
